A registered office in Korea carries two tests, applied by two different authorities. The commercial registry wants a head office location recorded in the articles of incorporation and on the register. The district tax office wants a place of business, which the Value-Added Tax Act defines as a fixed place where the company conducts all or part of its transactions. An address with no assigned space clears the first test far more easily than the second.

What Does Korean Law Require of a Registered Office?

Korean law requires an address and says almost nothing about the space behind it. Article 171 of the Commercial Act places a company’s legal address at its head office location. Article 289(1)(6) makes that location an absolute content of the articles of incorporation for a stock company, Article 317(2)(1) carries it onto the register at incorporation, and Article 4(1) of the Commercial Registration Act assigns the registry office by it, so the registered office decides which court registry handles every later filing. None of these provisions imposes a floor area, an exclusive-use condition, staffing, or an occupancy test, which is why virtual office providers can credibly offer a registrable address.

Moving the registered office is itself a filing, on the two-week clock in Commercial Act Article 182(1). The address also fixes the tax home: Article 9(1) of the Corporate Income Tax Act sets a domestic corporation’s tax domicile at the head office shown on its corporate register, which chooses the district tax office that handles your filings and any audit.

Can a Virtual Office Be Used for Corporate Registration?

Korea sells two products under the English phrase, and they land differently downstream. A 비상주 사무실, a non-resident office, provides an address and mail handling with no space assigned. A 공유오피스, a shared or serviced office, assigns a desk or a numbered 호실 under an occupancy agreement in the company’s name.

For the commercial registry, generally yes for either. Nothing in the Commercial Act or the Commercial Registration Act obliges a company to occupy the floor space at its registered address, so a provider’s promise that its address supports incorporation is usually accurate about this one step.

Licensed industries are the exception. Food Sanitation Act Article 36 requires food manufacture, processing, and food service businesses to hold facilities meeting the standards set by Prime Ministerial Decree, separated by operator, and Medical Service Act Article 33(1) confines medical practice to a medical institution the practitioner has opened. Manufacturing, food and beverage, academies, and clinics need qualifying premises whatever the Commercial Act permits.

The other institutions look behind the address. Korean banks treat a plainly mail-forwarding address as a due diligence signal, one of the recurring reasons an account application stalls, as covered in the guide to opening a corporate bank account in Korea. Immigration asks on one specific filing. Annex 5-2 of the Immigration Act Enforcement Rules lists 사무실 임대차계약서, an office lease, on the change-of-status application for a D-8 investor visa. Annex 5, which covers the certificate of visa eligibility and consular routes, asks for the investment notification and employment papers instead.

Will the Tax Office Issue a Business Registration Certificate?

This is where the address is tested on substance. Article 6(1) of the Value-Added Tax Act puts the VAT place of taxation at each place of business, Article 6(2) defines that as a fixed place where the business conducts all or part of its transactions, and Article 8(1) requires registration with the competent district tax office within 20 days of starting business.

The documents make the test concrete. Under the table in Article 11(3) of the VAT Act Enforcement Decree, a licensed or notifiable business files its permit or notification certificate, leased premises need a copy of the lease, a sublease needs the sublease and the landlord’s consent, and a business occupying part of a commercial building under Article 2(1) of the Commercial Building Lease Protection Act files a floor plan of that part. The two products diverge here: a 공유오피스 with an assigned 호실 produces a lease in the company’s name and a floor plan of the unit, and a 비상주 사무실 has no identified space to draw either from.

Check the building first. The 건축물대장, the building register kept under Article 38 of the Building Act, records each unit’s registered use, and Annex 1 of the Building Act Enforcement Decree sorts those uses: offices and 오피스텔 units sit in 업무시설, business facilities, smaller shops and offices in 근린생활시설, neighbourhood living facilities. Article 19(1) requires a change of use to meet the standards of the new use. An 오피스텔 leased on a residential contract, or a unit whose registered use does not cover the activity, is a recurring and avoidable failure.

Three provisions give the tax office room to look, and practice follows their shape. Article 11(5) requires the certificate within two days, then lets the deadline run to five where the Commissioner of the National Tax Service considers it necessary to verify the premises or the state of the business, with the certificate issued according to what the inspection finds. That 현장확인, the site check, is a routine step rather than a rare escalation, and the district office runs it, so the same file can move differently at two 세무서 inside Seoul. The usual outcome is the ten-day correction demand of Article 11(13), excluded from the issuance clock, asking for a floor plan, a signboard, or a clearer description of the space. Refusal under Article 11(7) reaches only a pre-commencement applicant found unlikely to actually start business. Driving all of it is the 자료상, the trade in tax invoices for supplies that never happened, punished under Article 10(3) of the Punishment of Tax Offenses Act with up to three years of imprisonment, which is why a cheap address shared by dozens of companies draws the visit.

What Does a Serviced Office Actually Provide?

A serviced office solves the document problem. The provider grants a lease or occupancy agreement in the company’s name for identified space, the instrument Article 11(3) contemplates, and the floor and suite appear identically on the register, the business registration certificate, the bank file, and the visa file.

The commercial argument is the deposit. Conventional Korean commercial leases run on a large refundable deposit funded before the first month of occupancy, a commitment worked through in the guide to the cost of entering the Korean market. Serviced formats compress that to a few months of fees.

One Korean benchmark publishes its terms. Invest KOREA Plaza, KOTRA’s incubation centre for foreign investors in Seocho-gu, Seoul, posts KRW 31,775 per square meter per month with VAT separate, and a deposit of six months of rent and maintenance. Eligibility is a foreign-invested company with at least KRW 100 million of investment arriving within a year of moving in.

What Does a Free Economic Zone Address Add?

A Free Economic Zone address adds site economics and administrative support, and it suits operations with a physical footprint. The Free Economic Zone Planning Office lists nine zones in operation, Incheon and Busan-Jinhae being the ones foreign companies use most. Under the Special Act, Article 16(2) lets local governments fund land preparation and rent reductions for tenant foreign-invested companies and Article 17(6) allows public land leases of up to 50 years. Those benefits attach to land, buildings, and qualifying investment, so a four-person sales entity that needs a desk in Gangnam gains close to nothing. Take a zone address when the operation belongs in the zone.

What Does a Seoul Address Cost in Registration Tax?

Location carries a tax consequence that surprises foreign founders. Article 28(2) of the Local Tax Act sets registration and license tax at 300 percent of the standard rate on incorporating in a large city, on establishing a branch or sub-office there, and on moving a head office in from outside, which it treats as an incorporation.

Read the parenthetical in Article 28(2)(1). Incorporation includes any increase of capital or contribution within five years of the incorporation or of acquiring a dormant company, and Article 28(2)(2) extends the same window to a head office that has moved in. Incorporating at KRW 100 million for Foreign Investment Promotion Act recognition and topping the capital up later pulls that increase into the surcharge.

The standard rate makes the number real. Article 28(1)(6)(a) taxes the incorporation and paid-in capital of a for-profit company at 4/1,000, with a floor of KRW 112,500, and a later capital increase at the same rate. Tripled, that is 1.2 percent. Incorporating on KRW 100 million in Seoul costs KRW 400,000 tripled to KRW 1.2 million, plus local education tax at 20 percent of it under Article 151(1)(2), a further KRW 240,000. A KRW 400 million increase in year three carries KRW 4.8 million plus KRW 960,000.

The boundary is narrower than “capital region” suggests. Article 13(2) defines the large city as the overconcentration control region under Article 6 of the Seoul Metropolitan Area Readjustment Planning Act, excluding industrial complexes, and Annex 1 of that Act’s Enforcement Decree draws it: all of Seoul, Incheon apart from Ganghwa-gun, Ongjin-gun, listed neighbourhoods of Seo-gu, the Incheon Free Economic Zone and the Namdong industrial complex, and fourteen Gyeonggi municipalities, two of them only in part. Pyeongtaek, Paju, and Hwaseong sit inside the capital region and outside the surcharge.

Two sets of exclusions narrow exposure. Article 26(1) of the Enforcement Decree lists excluded industry types, among them trade-ministry designated high-technology industries, software, telecommunications, distribution and warehousing, urban-type factories, and medical services, and Article 28(3) adds a trap: switching to or adding a non-excluded type within two years without justifiable cause restores the surcharge. Article 45 takes restructuring out of scope, covering a division by a company trading five years or more in the large city and a merger between two companies each established there more than five years earlier.

For a subsidiary whose registration capital stays modest, the multiplier is an administrative cost, not a reason to relocate, and that holds only while the capital stays modest. If a capital increase sits on the five-year horizon, price the surcharge on it before choosing the district, and confirm the classification code against Article 26(1) with Korean counsel.

Can I change the registered office later? Yes, and the filing is routine. Commercial Act Article 182(1) gives two weeks from the move to register the new location and the date, and since the September 2024 amendment Article 55 of the Commercial Registration Act lets a cross-jurisdiction move be filed at either the old or the new registry office. Budget the registration tax if you are moving into a large city.

Choosing the Address Before You Sign

Decide where the business actually operates, check the building’s registered use and the district’s tax treatment, then pick the format that produces the documents your bank, your tax office, and your immigration file each demand. A shared office with an assigned unit covers the normal case for a first Korean entity, because it turns a registered office into a leased one on paper and in fact. A zone address earns its place when the operation has a physical footprint. An address-only service works where nobody downstream looks behind it, which for a company seeking a visa and a bank account is rarely true.
